La Perla: una speranza concreta di salvataggio in mezzo a un mare in tempesta
Il tribunale di Bologna ha messo in liquidazione attraverso la procedura di liquidazione giudiziale La Perla Management.
Questo è un passaggio scioccante ma dovuto, che ha semplicemente esplicitato una situazione le cui dinamiche erano note a tutti gli operatori di mercato.
Ma è la fine della storica azienda del lusso bolognese? Per ora no, ma la via d’uscita è stretta e tortuosa.
Riavvolgiamo un attimo il nastro. La Perla non era già da più da circa 20 anni un’azienda famigliare con proprietà bolognese. La famiglia Masotti, infatti, aveva venduto La Perla ad una società di private equity di nome JH Partners, già nel lontano 2008. Nel 2013 la proprietà passa all’imprenditore italiano Silvio Scaglia, tramite la holding Pacific Global management. È di quel tempo la decisione di scorporare il marchio e portarlo nel management con sede a Londra per ottimizzare quella che con un eufemismo viene definita efficienza fiscale.
Scaglia non riuscì mai veramente ad essere all’altezza dei fasti passati e passò la mano dopo soli sei anni alla Sapinda Holding che prenderà poi l’anno successivo il nome di Tennor.
Nel frattempo, la gestione caratteristica del gruppo continuava a non riuscire a produrre cassa. Tra il 2018 ed il 2022 l’azienda, infatti, bruciava 357 milioni complessivi non riuscendo mai a produrre un solo euro di cassa. Questo a fronte di un fatturato compreso tra i 60 e gli 80 milioni di euro. Ulteriormente grave è il problema di La Perla Italia (industrial). Questa entità, difatti, continuava a finanziare le perdite del gruppo concedendo crediti alla sua holding (una scatola vuota in mano alla quale c’era solo il marchio) e producendo ad utili/perdite indefinite determinate dalla capogruppo. Il sistema di gruppo, infatti, le riconosceva solamente ricavi determinati dai costi aziendali più un margine standard. Questi ricavi erano scollegati dai valori di mercato e rendevano, nei fatti, l’azienda bolognese una terzista in esclusiva. Terzista, che però, aveva in mano anche la ricerca e la produzione delle nuove collezioni.
Per dare un termine di paragone dei competitor di La Perla: Victoria Secret nello stesso periodo ha creato un dollaro di cassa per ogni 5/6 dollari incassati.
Insomma: la società è stata gestita malissimo. Un marchio ancora fortissimo non è stato minimamente sfruttato. Questo all’interno di un settore che può e sa generare redditività. Basterebbero questi pochi dati per dare giudizi impietosi sui gestori ed i manager. Oltre a questi fatti e, di maggiore gravità, risulta l’utilizzo sistematico dei crediti verso l’azienda bolognese, effettuato dalla holding inglese arrivando alla strabiliante cifra di più di 90 milioni.
Ora quindi che fare? È chiaro a tutti che la continuità aziendale si potrà avere solo a fronte di una serie di fattori positivi che si dovranno per forza allineare. In caso differente è molto difficile che La Perla ce la possa fare.
Il primo ed il più importante è il mantenimento delle maestranze. La Perla non paga stipendi e non produce da mesi. Non è pensabile che i lavoratori e le lavoratrici possano sopravvivere d’aria e non è neppure pensabile che riescano a rimanere attaccati all’azienda senza che vi siano dei passi concreti verso la risoluzione di questo problema. Ora stanno arrivando gli ammortizzatori sociali ma, per quanto basteranno?
Il secondo è la risoluzione della parte giuridica. Il marchio deve tornare in seno alla realtà italiana, sia essa quella esistente o una nuova società creata per dare continuità alla compagine attualmente esistente sotto altra forma. Per far sì che questo accada il tribunale bolognese (che ha deciso per l’amministrazione straordinaria per l’azienda operativa e la liquidazione della holding) e quello londinese (che ha messo in liquidazione volontaria la holding) nella persona dei liquidatori dovranno per forza trovare un accordo sia diretto, sia lasciando che enti terzi rilevino il marchio in maniera onerosa.
Il terzo è il reperimento di nuovi capitali che permettano una riorganizzazione di una società che andrà per forza riorganizzata sotto molteplici punti di vista.
Il quarto e, forse, più importante è la stesura e l’implementazione di piani di marketing ed operativi che permettano a La Perla di generare reddito e cassa in modo costante e sostenuto.
Tutte queste sono condizioni difficili, ma nessuna è impossibile. La Perla può vivere, ma tutti ci devono credere, lavoratori, istituzioni e potenziali investitori.
Un’ipotesi percorribile può essere la costituzione di una cooperativa di lavoratori. Difatti grazie ai fondi ingenti derivanti dalla legislazione sul workers buyout, uniti a fondi privati che, una volta costituita la cooperativa, potrebbero in tutta probabilità arrivare, si potrebbe strutturare una strategia che potrebbe permettere a La Perla di uscire dalle secche e provare a ritagliarsi nuovamente quel ruolo che essa merita.
Come dicevamo, condizioni molto difficili da realizzarsi, ma la speranza è che tutte queste occorrenze si incrocino e che la perla possa tornare a fare splendidi indumenti per i suoi clienti e per far lavorare delle maestranze che, per la loro professionalità e capacità, meritano sicuramente di farlo.
